Terms of Service

These Terms of Service ("Terms") govern your access to and use of HeavyBase, a cloud-based shop management platform operated by Speedish Software LLC ("HeavyBase," "we," "us," or "our"), accessible at shopbasehq.com. By creating an account or using our services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By registering for HeavyBase, you represent that you meet these requirements and that all information you provide is accurate and complete.
2. Account Registration
To use HeavyBase, you must create an account by providing your name, email address, and business information. You are responsible for maintaining the confidentiality of your account credentials, including any PINs assigned to staff members for device-mode access. You are responsible for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
3. Description of Services
HeavyBase provides heavy equipment service centers with tools including:
- Work order and estimate management
- Customer and vehicle record management
- Technician and service writer portals with PIN-based access
- Digital vehicle inspections with photo capture
- Appointment scheduling and automated reminders
- Invoicing and online payment processing (via Stripe Connect)
- SMS messaging to customers (via Telnyx)
- Bay management and shop floor status boards
- Parts supplier integrations and pricing
- Reporting, analytics, and performance metrics
- Counter sales / point of sale
We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.
4. Subscription and Pricing
HeavyBase offers free and paid subscription tiers. Features available under each tier are described on our Pricing page. We reserve the right to change pricing with 30 days' notice.
Certain premium features (AI diagnostic assistance, SMS messaging, OBD code lookups) require connecting a Stripe account for payment processing. A platform fee of 1.5% is applied to online payments processed through HeavyBase.
5. Payment Processing
HeavyBase uses Stripe Connect to facilitate payment processing between shops and their customers. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement and Privacy Policy.
You are responsible for the accuracy of invoices and charges created through HeavyBase. We are not a party to transactions between you and your customers and are not liable for disputes arising from those transactions.
6. SMS Messaging Terms
HeavyBase Equipment Service Alerts - Terms of Use
6.1 Program Description
HeavyBase Equipment Service Alerts is an SMS messaging program that enables heavy equipment service centers ("Shops") to send service-related text messages to their customers ("End Users"). This program facilitates transactional communications only, including appointment reminders, service status updates, repair authorization requests, and invoice delivery.
6.2 Shop Obligations
By using HeavyBase SMS features, Shops agree to:
- Obtain Express Consent: Obtain prior express written consent from each End User before sending any text messages. Consent must be documented and retained.
- Transactional Messages Only: Send only service-related, transactional messages directly related to vehicle service appointments, repairs, or invoicing. Marketing and promotional messages are strictly prohibited.
- Honor Opt-Outs: Immediately honor all opt-out requests. When an End User replies STOP, no further messages may be sent.
- Provide Opt-Out Instructions: Include opt-out instructions in messages (e.g., "Reply STOP to opt out").
- No Consent Sharing: Not share, sell, or transfer End User consent or phone numbers to third parties.
- Accurate Information: Use accurate business identification and not engage in caller ID spoofing.
- Legal Compliance: Comply with all applicable federal, state, and local laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all carrier requirements.
- CTIA Guidelines: Comply with CTIA Short Code Monitoring Handbook and Messaging Principles and Best Practices.
- Reasonable Hours: Send messages only during reasonable hours (generally 8 AM - 9 PM in the End User's time zone).
6.3 Prohibited Uses
The following uses of HeavyBase SMS are strictly prohibited:
- Sending marketing, promotional, or advertising messages
- Sending messages to End Users who have not provided consent
- Sending messages after an End User has opted out
- Sending messages unrelated to vehicle service
- Sharing or selling End User phone numbers or consent records
- Sending high-volume or spam messages
- Using the SMS system for illegal purposes
- Impersonating other businesses or individuals
6.4 End User Rights
End Users receiving messages from Shops using HeavyBase have the following rights:
- Opt-Out: Reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any message to immediately stop receiving messages.
- Get Help: Reply HELP to receive program information and support contact details.
- No Purchase Required: Consent to receive text messages is not required as a condition of purchasing any goods or services.
- Privacy: No mobile information will be shared with third parties/affiliates for marketing/promotional purposes.
6.5 Message Frequency and Rates
- Frequency: Message frequency varies. End Users receive messages only when related to an active service appointment. Typical frequency is 3-10 messages per service visit.
- Carrier Rates: Message and data rates may apply. Standard carrier messaging rates apply to all messages sent and received.
- Carrier Liability: Carriers (AT&T, Verizon, T-Mobile, etc.) are not liable for delayed or undelivered messages.
6.6 Delivery and Liability
SMS delivery is provided through Telnyx and is subject to carrier network availability. HeavyBase does not guarantee delivery of every message. Message delivery depends on factors outside our control including carrier networks, device compatibility, and network congestion.
HeavyBase is not liable for any damages arising from delayed, undelivered, or misdirected messages. Shops are responsible for following up with customers through alternative means when SMS delivery cannot be confirmed.
6.7 Termination
HeavyBase reserves the right to suspend or terminate SMS capabilities for any Shop that violates these terms, sends prohibited content, generates excessive opt-out rates, or receives carrier complaints. Termination may occur without prior notice for serious violations.

7. Your Data
You retain ownership of all data you enter into HeavyBase, including customer records, vehicle information, work orders, invoices, and messages. We do not claim ownership of your data.
You grant us a limited license to use, store, and process your data solely for the purpose of providing our services. We will not access your data for any other purpose without your consent, except as required by law.
You are responsible for ensuring that you have the right to enter customer data into the platform and that your use of HeavyBase complies with applicable privacy laws.
7.1 Deleted Services and Data Retention
When you delete a service, work order, or customer record:
- Immediate Deletion: The service record and associated details (labor items, parts, notes, photos) are permanently removed from the active database.
- Related Customer Data: Customer contact information is retained only if associated with other active records. Customers with no remaining service history may request full deletion.
- Financial Records: Completed payment transactions and invoice records may be retained for up to 7 years as required for tax and accounting compliance, even if the associated work order is deleted.
- SMS History: Text message logs related to a deleted service are retained for up to 12 months for dispute resolution, then permanently purged.
- Backups: Deleted data may persist in encrypted system backups for up to 30 days before being overwritten.

8. Acceptable Use
You agree not to:
- Use HeavyBase for any illegal purpose or in violation of any applicable law
- Send spam, unsolicited marketing, or harassing messages through our SMS features
- Attempt to gain unauthorized access to our systems, other user accounts, or data
- Interfere with or disrupt the integrity or performance of the platform
- Reverse-engineer, decompile, or disassemble any portion of our software
- Use automated tools (bots, scrapers) to access the platform without our consent
- Share your account credentials with unauthorized individuals
- Upload malicious code, viruses, or harmful content
Violation of these terms may result in immediate account suspension or termination.
9. Intellectual Property
HeavyBase, including its design, code, features, logos, and documentation, is the property of Speedish Software LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without written permission.
10. Third-Party Services
HeavyBase integrates with third-party services including Stripe, Telnyx, Google, parts suppliers, and others. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.
11. Disclaimer of Warranties
HeavyBase is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or completely secure.
Labor time estimates, parts pricing, diagnostic suggestions, and other data provided through the platform are for reference purposes and should be verified by qualified professionals. We are not responsible for errors in third-party data.
12. Limitation of Liability
To the maximum extent permitted by law, HeavyBase and Speedish Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, arising from your use of the platform. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless HeavyBase, Speedish Software LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
14. Termination
You may close your account at any time by contacting us at support@shopbasehq.com. We may suspend or terminate your account if you violate these Terms or if we discontinue the service. Upon termination, your right to use the platform ceases, and we will handle your data in accordance with our Privacy Policy.
15. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Hendricks County, Indiana.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Continued use of HeavyBase after changes constitutes acceptance of the updated Terms.
